The Corporate Legal Officer is accountable for taking the day-to-day legal responsibilities and providing legal advice that includes all aspects of the analysis, investigation and drafting process relating to business transactions and transactions of the company. He/she manages the business legal risks of the company.
JOB RESPONSIBILITIES
- Monitor investment and disinvestment files : be actively involved in analysing, preparing and drafting of the various legal documents of the transaction and follow up on legal risk issues, due diligence, structure : legal aspects, drafting of legal documents and closing.
- Conduct legal analysis and research on various legal matters.
- Review all contracts/documents submitted for legal opinion of the department.
- Manage and monitor the legal aspects of town planning and environmental files.
- Deal with the management of pre-litigation and litigation files.
- In general, manage the legal risk of the company.
- Provide the interface with external advisors.
- Provide support/advice/implement the decisions of the Executive Committee (on request).
- Provide and disseminate legal information on general matters or ad hoc.
- Provide legal support concerning treasury and finance activities, accounting and financial law
- Manage insurance contracts : negociation of and applications for coverage.
SKILLS AND KNOWLEDGE
- Trilingual NL, FR, English (oral and written)
- Office automation knowledge : MS Office : Word/Excel
- Good knowledge of civil law governing property, leases, town planning, environment, including :
- the ability to draw up/supply clear, ad hoc legal opinions for other departments.
- Ability to draw up contracts in FR, NL.
- Ability to negociate contractual clauses (defend a legal point of view in relation to outsiders) in FR, NL.
